These Terms of Service (“Agreement” / “Terms”) govern your use of our website located at iteckms.com (the “Site”) and any related services provided by ITeck Managed Services (“we”, “us”, or “our”). 2. Scope of Services

We may provide a variety of IT managed services including, but not limited to:

  • Network monitoring and management
  • System maintenance and updates
  • Data backup and disaster recovery
  • Cybersecurity support
  • Help-desk and end-user support
  • Hardware and software management

The exact scope, responsibilities, deliverables, and Service Level Agreements will be described in a separate SOW or SLA agreed upon by both parties.

3. Client Responsibilities

As the Client, you agree to:

  • Provide us with accurate and complete information needed to deliver the Services.
  • Grant us access to systems, networks, hardware, software, and any other resources as required to perform Services.
  • Maintain any required licenses, permissions, and legal compliance for software, hardware, data, and systems under your control.
  • Use the Services in compliance with applicable laws and not engage in wrongful, illegal, or malicious activities.

4. Changes to Services

Any changes to the scope of Services must be agreed upon in writing by both parties. Additional fees may apply for expanded or altered Services.

5. Payment Terms

Fees, payment schedule, and invoicing terms will be defined in a separate agreement or statement (e.g. SOW or invoice). Late payments may result in suspension or termination of Services.

6. Term and Termination

This Agreement commences on the effective date (as defined in the applicable SOW or invoice) and continues until terminated as provided herein. In the event of termination, you agree to pay for all Services provided up to the termination date.

7. Confidentiality & Data Protection

We will treat all proprietary or confidential information disclosed by you as confidential and will not disclose it to third parties without your prior written consent, except as required by law. You acknowledge and agree that we may need to access, store, or process certain data in order to provide the Services. You remain responsible for complying with any applicable data-protection laws and for obtaining all necessary consents.

8. Intellectual Property

All intellectual property rights in any deliverables, tools, software, documentation, or content we provide remain our property unless otherwise agreed in writing. Your use of our deliverables is limited to the purpose specified in the SOW or agreement.

9. Warranty Disclaimer & Limitation of Liability

EXCEPT AS EXPRESSLY PROVIDED IN WRITING, WE PROVIDE OUR SERVICES “AS IS” AND MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR LIABILITY FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR OUR SERVICES IS LIMITED TO THE FEES PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations due to causes beyond our reasonable control, including but not limited to acts of God, fire, flood, natural disasters, acts of war, civil unrest, strikes, governmental actions, or outages from internet service providers.

11. Severability & Waiver

If any provision of this Agreement is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Failure by either party to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict-of-laws principles. Any dispute arising under or related to this Agreement shall be resolved by arbitration in Texas, unless otherwise agreed by the parties.

13. Changes to These Terms

We reserve the right to modify or update these Terms at any time. We will post the updated Terms on this Site and indicate the date they were last revised. Your continued use of the Site or our Services after the modifications constitute your acceptance of the revised Terms.
